Terms of service
Terms of Service
NJ Restaurant Equipment Corp.
Effective Date: [Insert publication date]
These Terms of Service govern use of njresupply.net and purchases from NJ Restaurant Equipment Corp. (“NJRE,” “we,” “us,” or “our”). By placing an order, you agree to these Terms and the Shipping Policy and Shipping & Returns Policy disclosed at checkout.
1. Commercial Equipment and Buyer Responsibilities
Our equipment is intended for commercial use. You are responsible for selecting equipment suitable for your intended application and confirming dimensions, access clearances, electrical service, voltage, phase, gas type, ventilation, plumbing, and applicable installation requirements before ordering.
Unless expressly included in a written agreement, purchases do not include installation, utility connections, permits, inspections, or verification of compliance with local requirements. Installation and service must be performed by appropriately qualified professionals.
General product recommendations do not replace your independent verification of suitability or advice from your installer, architect, engineer, or local authority.
If you purchase on behalf of a business, you represent that you have authority to bind that business.
2. Product Listings, Condition, and Availability
We sell new, refurbished, used, closeout, and scratch-and-dent equipment. The condition identified in the applicable listing or written sales agreement controls. Photographs may be representative unless expressly identified as photographs of the actual unit.
Normal cosmetic wear consistent with an accurately disclosed condition does not, by itself, establish a defect.
We make reasonable efforts to maintain accurate information but may correct listing, pricing, specification, and availability errors. If a material error affects your order, we will notify you before fulfillment and request your agreement to the correction or cancel the affected item. If we cancel because we cannot supply the item as agreed, payments for that item will be returned to the original payment method, unless you choose store credit.
3. Orders and Payment
An automated order acknowledgment confirms receipt of your order and does not, by itself, constitute acceptance. We may verify payment, billing information, inventory, and delivery requirements before accepting or fulfilling an order.
Payment is due before release of equipment unless we expressly approve other written terms. We may hold or decline orders involving suspected fraud, unauthorized payments, or incomplete information.
Customers are responsible for applicable taxes unless valid exemption documentation is accepted before the sale.
4. Freight Charges and Delivery Services
Shipping amounts displayed at checkout are estimates. Final freight charges may change because of verified carrier classifications, shipment measurements, delivery requirements, or additional services.
We will communicate adjustments before shipment whenever practicable. You are responsible for legitimate, documented additional freight costs associated with your order. We may issue a supplemental invoice or charge an authorized payment method where permitted by law and the payment authorization.
Standard delivery excludes liftgate, inside delivery, and residential service unless separately arranged. You must disclose delivery restrictions and arrange suitable unloading access. Charges arising from inaccurate delivery information, missed appointments, redelivery, storage, or detention are your responsibility.
Shipping and arrival dates are estimates unless expressly guaranteed in writing. Carrier delays and events outside our reasonable control may affect fulfillment.
5. Inspection and Shipping Damage
Inspect equipment and packaging when delivered. Record visible damage on the delivery receipt or bill of lading, retain a copy, and refuse delivery when significant damage is apparent.
Notify us within 24 hours of delivery about shipping damage or shortages. Retain packaging and provide photographs and supporting records. Concealed damage must be reported promptly after discovery.
Failure to document or promptly report damage may impair a freight claim. Delivery documentation does not waive rights that applicable law makes nonwaivable. Do not operate damaged equipment or discard it while a claim is being evaluated.
6. Changes and Cancellations
Request changes or cancellations immediately. Orders cannot ordinarily be changed or canceled after processing for shipment. Exceptions require our written approval.
For an approved cancellation after crating and preparation, a crating charge equal to 10% of the affected merchandise price applies. Documented freight or other nonrecoverable costs may also apply, without duplicate recovery of the same expense.
Approved customer-requested cancellation balances are issued as store credit, except where applicable law requires another remedy. Special orders are noncancelable once committed to production or procurement, except as required by law or expressly agreed in writing.
7. Returns and Store Credit
Contact us within 24 hours of receiving equipment to request a discretionary return. No return may be sent without written authorization and return instructions.
Authorized merchandise must arrive in its original delivered condition, with supplied components and appropriate protective packaging. You are responsible for return freight and damage occurring during the return shipment.
Original shipping charges are deducted from the credit. A restocking fee applies; its amount will be disclosed before return authorization. We will explain any additional deduction for missing components or deterioration beyond the delivered condition.
Approved returns receive store credit, rather than cash or a payment-card refund, except where applicable law requires otherwise. Special orders are nonreturnable and nonrefundable, subject to applicable law.
Allow approximately one week for processing after receipt and inspection.
These discretionary return restrictions do not eliminate remedies for an incorrect shipment, breach of an express warranty, or other rights required by law.
8. Unauthorized Refusals and Unclaimed Orders
Refusing an undamaged shipment does not cancel an order or establish a right to a refund. If you refuse delivery without an approved reason, you remain responsible for reasonable, documented freight, return transportation, storage, and other resulting expenses, subject to applicable law.
Contact us promptly if you cannot receive or collect an order. Any additional storage arrangement and charges will be disclosed in writing. Unclaimed equipment will be handled only after required notice and in accordance with applicable law.
9. Local Pickup
Arrange pickup in advance. For purchases paid by credit card, the cardholder must appear with government-issued identification and the payment card used for the purchase.
You are responsible for providing suitable transportation and securing the load. Inspect equipment before departure and document any concerns. Risk of damage transfers upon pickup to the extent permitted by law, without eliminating rights relating to preexisting defects or our own negligence.
10. Warranties
Any manufacturer warranty is governed by that manufacturer’s written terms, eligibility requirements, exclusions, and claim procedures. Residential use of commercial equipment may invalidate manufacturer coverage. Confirm coverage for the specific equipment and intended use before purchase.
Any separate NJRE warranty must be expressly stated in writing. Nothing in these Terms cancels an express warranty or a specific written representation that forms part of the sale.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR EXPRESS WARRANTIES PROVIDED IN WRITING, NJRE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THIS DISCLAIMER DOES NOT APPLY WHERE PROHIBITED BY LAW.
Unauthorized repairs, improper installation, misuse, or equipment modification may affect warranty coverage under the applicable warranty terms. Obtain any required authorization before commissioning repairs for which reimbursement is sought.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NJRE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, LOST SALES, OR FOOD SPOILAGE ARISING FROM A PURCHASE OR USE OF EQUIPMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NJRE’S TOTAL LIABILITY FOR A CLAIM RELATING TO A PARTICULAR PRODUCT WILL NOT EXCEED THE PURCHASE PRICE AND SHIPPING CHARGES PAID TO NJRE FOR THAT PRODUCT.
These limitations do not exclude liability for fraud, willful misconduct, gross negligence, or any injury, statutory remedy, or other liability that cannot lawfully be excluded or limited. They apply only to the extent enforceable and do not eliminate remedies that applicable law requires.
12. Payment Disputes
Please contact us promptly regarding a billing concern so we can investigate and attempt to resolve it. This request does not restrict lawful payment-dispute or chargeback rights.
Submitting a dispute does not independently cancel an order or authorize retention of both merchandise and a duplicate recovery. Any outstanding obligations remain subject to the dispute outcome and applicable law.
13. Website Use and Intellectual Property
You may use our website only for lawful purposes. You may not interfere with its operation, attempt unauthorized access, submit fraudulent information, or misuse customer or business information.
Website content owned by NJRE may not be reproduced or commercially exploited without written permission, except as permitted by law. Third-party trademarks and materials remain the property of their respective owners.
Personal information is handled under our Privacy Policy.
14. Governing Law and Disputes
These Terms are governed by New Jersey law, without regard to conflict-of-law rules, except where mandatory applicable law requires otherwise.
Subject to any nonwaivable rights concerning jurisdiction or venue, disputes will be brought in courts of competent jurisdiction in Hudson County, New Jersey, or the United States District Court for the District of New Jersey.
15. Policy Priority and Updates
A separately signed agreement or express written warranty controls over conflicting general language in these Terms. Subject to that priority, our Shipping Policy governs freight procedures, and our Shipping & Returns Policy governs discretionary returns and cancellations.
Changes to these Terms apply prospectively. The version disclosed and accepted when an order is placed governs that order unless the parties subsequently agree otherwise.
If a provision is unenforceable, the remaining provisions continue in effect to the extent permitted by law. Failure to enforce a provision on one occasion does not waive future enforcement.
